Corporate Tax Registration Dubai: Step-by-Step (2027)

Corporate Tax Registration in Dubai: Step-by-Step Guide 2027

Who Must Register, Deadlines, Documents, the EmaraTax Process, Penalties & the First-Return Waiver

Quick Summary: Every UAE company — mainland or free zone, taxed at 0% or not — must register for Corporate Tax with the Federal Tax Authority (FTA) through the EmaraTax portal. Companies formed on or after 1 March 2024 have three months from incorporation, while individuals register only once business turnover passes AED 1 million, by 31 March of the following year. Registration is separate from VAT, produces its own Corporate Tax registration number, and missing the deadline triggers a fixed AED 10,000 penalty — which the FTA waives if your first return is filed within seven months of the first tax period's end. This guide gives you the 8-step process, document checklist, a worked 2026–2027 timeline, penalties, and what to do after you register.

🚀 Introduction: Why Registration Comes First

UAE Corporate Tax applies to financial years starting on or after 1 June 2023, and registration is where every obligation begins. Without a Corporate Tax registration number you cannot file a return, claim the 0% band, elect Small Business Relief, or show a bank or investor that your company is tax-compliant. Yet registration is routinely missed by new Dubai companies, because licensing and tax registration are separate processes: your trade licence comes from DET or a free zone authority, while Corporate Tax registration is done with the FTA.

The 2027 picture adds urgency. Companies formed in 2026 and 2027 are on a strict three-month clock from incorporation. A company with a 31 December 2026 year-end must file and pay its return for that year by 30 September 2027. The FTA also confirmed in May 2026 that its late-registration penalty waiver is still running, and Small Business Relief has been extended to 2029 — but both only help if you have registered and file on time.

This guide explains who must register, the deadline for each type of business, the documents you need, the eight steps on EmaraTax, what the penalties are, and what to do once you have your number. For the wider picture, see our guide to tax registration requirements in Dubai, or let our tax services team handle the application for you.

📌 Who Must Register for Corporate Tax?

The short answer for companies is: everyone. Registration is a legal obligation, separate from whether you actually owe any tax.

Do You Need to Register for Corporate Tax?

What kind of taxpayer are you? Mainland or free zone company? Individual with AED 1M+ turnover? Non-resident with UAE PE or nexus? Exempt person (e.g. public body)? Register, even if income is 0% or below AED 375,000 Register by 31 March of the following calendar year Register within 6 months (PE) or 3 months (nexus) Usually still register and apply for exemption — confirm with FTA

PE = permanent establishment. Deadlines for non-residents apply to PEs and nexus arising on or after 1 March 2024 (FTA Decision No. 3 of 2024).

Business TypeMust Register?Key Points
Mainland company (LLC, sole establishment, civil company)YesRegistration is required even if profits are below AED 375,000 or the company is loss-making
Free zone companyYesQualifying Free Zone Person status affects the tax rate, not the duty to register
UAE branch of a UAE companyThrough the parentNo separate registration; the legal entity registers once, with branch details added
UAE branch of a foreign companyGenerally yesUsually a permanent establishment of the foreign company, so the non-resident PE timelines apply — confirm for your structure; see tax services for mainland vs free zone companies
Individual or sole traderOnly above AED 1M turnoverTested on business turnover in a calendar year, not profit
Non-resident with a PE or UAE nexusYesNon-residents earning only UAE-sourced income without a PE or nexus generally do not need to register
Exempt persons (e.g. government bodies, qualifying public benefit entities)Generally yesExempt status is claimed through the FTA; the FTA's waiver notice refers to "certain" exempt persons who must register

Common misunderstanding: "I'm in a free zone, so I pay 0% and don't need to register." That is wrong. Registration is mandatory for free zone companies; the 0% rate applies only to qualifying income earned by a company that meets every Qualifying Free Zone Person condition. See our guide to free zone qualifying income criteria.

⏳ Registration Deadlines (With a Worked 2026–2027 Timeline)

Deadlines are set by FTA Decision No. 3 of 2024 on the timelines for registration of taxable persons, which took effect on 1 March 2024. A missed deadline carries the fixed AED 10,000 penalty.

WhoRegistration Deadline
Resident company incorporated, established or recognised on or after 1 March 2024 (including free zone companies)Within three months of incorporation, establishment or recognition
Foreign company effectively managed and controlled from the UAE (after 1 March 2024)Within three months of the end of the financial year
Resident individual31 March of the year after the calendar year in which business turnover exceeded AED 1 million
Non-resident with a permanent establishment (arising on or after 1 March 2024)Within six months of the PE existing
Non-resident with a UAE nexus (arising on or after 1 March 2024)Within three months of establishing the nexus
Non-resident individualWithin three months of meeting the conditions
Companies that existed before 1 March 2024Deadlines ran from 31 May 2024 to 31 December 2024 depending on the licence month — all have passed. If you are still unregistered, register immediately

Worked Example: Company Incorporated 15 April 2026, Year-End 31 December

15 Apr 2026 Company incorporated 15 Jul 2026 Register by here (3 months) 31 Dec 2026 First tax period ends 31 Jul 2027 Waiver-eligible return (7 months) 30 Sep 2027 Return & payment due (9 months)

Illustrative. Blue bar = first tax period (15 Apr – 31 Dec 2026); pale bar = filing window. Registration is measured from the incorporation, establishment or recognition date; some advisers use the licence date, so check your documents and do not leave it late.

Don't wait for the return deadline. Registration is due long before your first return. Some online guides suggest a registration number can be obtained any time up to the return due date, but the FTA's registration timelines under Decision No. 3 of 2024 are much earlier, and a missed timeline carries the AED 10,000 penalty.

📂 Documents You Need

Have the documents below scanned and named clearly before you start, and make sure every name and number matches your trade licence exactly — mismatches are a common reason for FTA queries.

🪜 The 8-Step EmaraTax Registration Process

  1. Confirm You Must Register — and When

Check your category in the table above and note your deadline. For a new company, count three months from incorporation, establishment or recognition.

  2. Gather and Check Your Documents

Collect the licence, IDs, proof of authorisation and contact details listed above. Confirm the signatory's authority is documented — an incorrectly set up signatory can cause the application to be rejected.

  3. Log in to EmaraTax

Sign in on the FTA's EmaraTax portal with UAE Pass or your existing FTA credentials. If you are new, create an account and add the legal entity or individual as a taxable person. If you already hold a VAT account, you can use the same login.

  4. Start the Corporate Tax Registration

From the dashboard, open the Corporate Tax tile, choose Register, and confirm you have read the instructions. Registration is done once per legal entity, even with several branches.

  5. Enter Entity and Licence Details

Select the legal type and enter the trade licence number, issuing authority and issue date, business activities, registered address, contact details, and your financial year-end. The year-end you enter determines your tax period and filing dates, so match it to your accounting records.

  6. Add Owners, Branches and the Authorised Signatory

Add owners holding 25% or more with their identification, any branch details (branches are covered by the head-office registration), and the authorised signatory with supporting proof of authority.

  7. Upload Documents and Sign the Declaration

Upload the supporting documents, review every section for accuracy against the trade licence, and sign the declaration.

  8. Submit, Track and Receive Your Number

Submit the application and keep the reference number, which you will use in all FTA interactions. Respond promptly to any FTA queries. Practitioners commonly cite processing of up to about 20 business days when documents are correct; on approval you receive your Corporate Tax registration number and certificate through the portal.

VAT and Corporate Tax numbers are separate. Corporate Tax registration produces its own registration number; a VAT TRN cannot be used for Corporate Tax purposes, and VAT registration does not register you for Corporate Tax. VAT registration is not generally a prerequisite — but if you hold a VAT TRN, the application can link to it. One online guide states otherwise, so confirm on EmaraTax if the portal asks for it.

📅 After Registration: Tax Period, First Return & Payment

  • Tax period: normally your 12-month financial year (a 31 December year-end gives a calendar-year tax period). Your first period can be shorter or longer than 12 months, depending on when you start.
  • Return and payment: both are due within nine months of the end of the tax period — for a year ending 31 December 2026, by 30 September 2027. There are no instalments or advance payments, and the same deadline applies to filing and paying. If the date falls on a weekend or public holiday, it moves to the next working day.
  • Rates: 0% on taxable income up to AED 375,000 and 9% above that for most businesses; qualifying free zone income can be taxed at 0% if every condition is met.
  • Filing method: the return is filed on EmaraTax using your Corporate Tax registration number.
Financial Year-EndReturn & Payment Due
31 December 202630 September 2027
31 March 202731 December 2027
30 June 202731 March 2028
30 September 202730 June 2028

🎁 The AED 10,000 Late-Registration Penalty Waiver

If you registered late and were penalised, the FTA's initiative under Public Clarification CTP006 can wipe the AED 10,000 out — with strict conditions. The FTA's release of 14 May 2026 reported more than 68,600 beneficiaries so far and expected the total to exceed 91,000.

ConditionWhat It Means
First tax period onlyThe waiver covers the penalty linked to your first tax period (or first financial year for exempt persons)
Seven-month filingYou must file your first return within seven months of the end of the first tax period, instead of the usual nine
Payment deadline unchangedAny tax due is still payable within nine months of the period end
AutomaticNo separate application; an unpaid penalty is waived on EmaraTax, and one already paid is credited to your Corporate Tax account for offset or refund
Reconsideration requestsA pending reconsideration is treated as void because the penalty is waived; one already approved cannot be waived twice

Worked example: a company incorporated on 15 April 2026 with a 31 December year-end registers late and receives the AED 10,000 penalty. If it files its first return (covering 15 April – 31 December 2026) by 31 July 2027, the penalty is waived — filing as late as the normal 30 September 2027 deadline would not qualify.

Treat it as a safety net, not a plan. The FTA's notice does not state an end date, nor explicitly confirm that it applies to first tax periods starting after the announcement, although the clarification refers to first periods "whether in the past or in the future". Register on time and keep the seven-month filing date in your diary anyway.

🏝️ Free Zone Companies & Qualifying Free Zone Persons

  • Free zone companies are resident persons and must register, using the same EmaraTax process and the same three-month deadline for companies formed on or after 1 March 2024.
  • Qualifying Free Zone Person (QFZP) status is claimed and tested later, through your returns — it does not replace registration.
  • To keep 0% on qualifying income, a QFZP must meet conditions such as adequate substance, qualifying income, the de minimis limit, transfer pricing compliance, and audited financial statements — see our guide on free zone qualifying income criteria.
  • For how registration and tax treatment differ between the mainland and free zones, see our guide on tax services for mainland vs free zone companies and free zone vs mainland tax differences.

🧑‍💼 Freelancers, Sole Traders & Small Business Relief

Individuals are treated differently from companies. A resident individual registers only if their business turnover in the UAE exceeds AED 1 million in a calendar year, and must then register by 31 March of the following year. The test uses turnover, not profit, and employment income and personal investment or personal real estate income are generally outside it. Consultants and online sellers often start as individual licence holders — if that is you, see our bookkeeping services for management consulting firms and bookkeeping services for online retail startups to keep clean turnover records from day one.

Small Business Relief — Key FactsDetail

✅ Your Post-Registration Checklist

  • Save your Corporate Tax registration number and certificate with your company records.
  • Confirm the tax period and financial year-end on EmaraTax match your accounting records.
  • Diarise your return and payment date — nine months after the period end — and the seven-month date if the penalty waiver could apply to you.
  • Keep accounting records for seven years; taxable income follows your accounts, so revenue recognition, receivables and write-offs matter — see our accounts receivable best practices checklist.
  • Check whether you need audited financial statements — required for Qualifying Free Zone Persons, Tax Groups, and taxable persons with revenue above AED 50 million. See how to prepare for your first audit in Dubai.
  • Notify the FTA of changes (licence, address, owners, signatory) through EmaraTax so your profile stays accurate.
  • If the business closes, apply to deregister within three months of ceasing.
  • Be ready for FTA queries — see our guide on how to handle an FTA tax audit.

🚫 Common Mistakes to Avoid

  • Assuming free zone, 0% rate, or "no profit" means no registration is needed.
  • Waiting until the first return is due instead of registering within three months.
  • Confusing VAT registration with Corporate Tax registration — they are separate.
  • Entering a financial year-end that doesn't match the accounting records, which then distorts filing dates.
  • Uploading documents whose names or licence numbers don't match the trade licence.
  • Leaving the authorised signatory's authority undocumented.
  • Assuming the AED 10,000 waiver is automatic — it requires filing the first return within seven months.
  • Forgetting to notify the FTA when the company's details change.

❓ Frequently Asked Questions

Q1: Is Corporate Tax registration mandatory in Dubai if my income is below AED 375,000 or I am in a free zone?

Yes, for companies. Every UAE taxable person — mainland or free zone — must register with the Federal Tax Authority and obtain a Corporate Tax registration number, even if its income falls within the 0% band, it qualifies as a Qualifying Free Zone Person, or it has no taxable income. Individuals are different: they register only if their UAE business turnover exceeds AED 1 million in a calendar year.

Q2: What is the deadline to register for Corporate Tax for a new company in Dubai?

For companies incorporated, established or recognised on or after 1 March 2024, including free zone companies, the deadline is three months from incorporation, establishment or recognition under FTA Decision No. 3 of 2024. For example, a company incorporated on 15 April 2026 should register by 15 July 2026. Resident individuals register by 31 March of the year following the one in which turnover exceeded AED 1 million. Do not wait for your first return deadline.

Q3: What documents do I need for Corporate Tax registration, and how long does it take?

Typically the trade licence, passport and Emirates ID copies for owners and the authorised signatory, proof of authorisation (a power of attorney, board resolution or memorandum of association), and contact details; free zone companies add their certificate of incorporation if the zone issues one. Apply online through the FTA's EmaraTax portal using UAE Pass or your credentials. Practitioners commonly cite processing of up to about 20 business days when documents are correct. VAT registration is not generally a prerequisite, and the Corporate Tax registration number is separate from your VAT TRN.

Q4: What is the penalty for late Corporate Tax registration, and can it be waived?

The penalty is a fixed AED 10,000. Under FTA Public Clarification CTP006, the FTA waives it automatically, or credits it if already paid, when you file your first Corporate Tax return within seven months of the end of your first tax period instead of nine. The waiver covers only the first tax period and does not extend the nine-month payment deadline. The FTA confirmed in May 2026 that the initiative is continuing, but you should register on time rather than rely on it.

Q5: Do freelancers and individual licence holders need to register for Corporate Tax?

Only if their business turnover in the UAE exceeds AED 1 million in a calendar year, in which case they register by 31 March of the following year. The test is based on turnover, not profit. Employment income and personal investment or personal real estate income are generally outside the test. Below the threshold, no Corporate Tax registration is required.
